Skyworks to Acquire Avnera a Developer of ASoCs

Skyworks Solutions, Inc., a producer of analog semiconductors, reported that the company signed a definitive agreement to purchase Avnera Corporation, a developer of Analog System on Chip (ASoCs). According to Skyworks, acquisition of Avnera, a private fabless semiconductor supplier, adds ultra-low power analog circuits to its product portfolio. Skyworks says that these added ultra-low power analog circuits enable smart interfaces via acoustic signal processing, sensors, and integrated software.

Target applications for these ASoCs include wired and wireless headsets, AI speakers and microphones, virtual assistants, intelligent gaming controllers, and vehicle in-dash systems. Avnera’s system solutions feature market-specific ASoCs that combine audio and voice analog circuits, highly efficient power management, and custom hardware for smart acoustic signal processing and AI functionality with a small footprint.

For the acquisition, Skyworks will pay $405 million in cash to Avnera equity holders at closing with up to an additional $20 million if certain performance targets are surpassed over a 12-month period after the closing. The boards of directors of both companies have approved the transaction, which is expected to close by September 2018, subject to customary closing conditions.
