Skyworks Closes Acquisition of Smart Interface Firm Avnera

Skyworks Solutions, Inc. of Irvine, California USA closed its acquisition of Avnera Corporation, a developer of Analog System on Chips (ASoCs). The companies entered into a definitive agreement on August 3, 2018. (Ref: Coverage). According to Skyworks, acquisition of Avnera, a private fabless semiconductor supplier, adds ultra-low power analog circuits to its product portfolio. Skyworks says that these added ultra-low power analog circuits enable smart interfaces using acoustic signal processing, sensors, and integrated software.

Potential applications for these ASoCs include wired and wireless headsets, AI microphones and speakers, virtual assistants, intelligent gaming controllers, and in-dash vehicle systems.

Under the terms of the agreement, Skyworks paid cash for the acquisition, which was approved by the boards of directors of both Skyworks and Avnera. Excluding any non-recurring acquisition-related charges and amortization of intangibles, Skyworks expects the acquisition to be immediately begin growing its diluted earnings per share through the gradual addition in revenues.
